Terms of Service

1Acceptance of Terms

By creating an account, placing an order, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must discontinue use of the Platform immediately.

2Definitions

• "Platform" refers to the website studiomall.in, mobile applications, and all associated services operated by Studiomall.
• "Customer" / "User" refers to any individual who uses the Platform to place orders for photo printing services.
• "Studio Partner" refers to a registered photo studio that fulfils printing orders received through the Platform.
• "Order" refers to a request placed by a Customer for photo printing services through the Platform.
• "Services" refers to passport photo printing, delivery coordination, and related services facilitated through the Platform.
• "SLA" refers to Service Level Agreement — the time-bound commitments that Studio Partners must adhere to when processing orders.

3Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts under the Indian Contract Act, 1872 to use the Platform. By using the Platform, you represent and warrant that you meet these eligibility requirements.

4Account Registration & Security

• Account creation requires a valid Indian mobile phone number. Authentication is performed via OTP (One-Time Password) verification.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You must notify us immediately at info@studiomall.in if you suspect any unauthorised access to your account.
• We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

5Services Description

Studiomall is a technology platform that:

Studiomall acts as an intermediary platform facilitating transactions between Customers and Studio Partners. The actual photo printing service is provided by the Studio Partner. While we verify and onboard Studio Partners, we do not directly control the quality or timing of individual print jobs beyond our SLA enforcement mechanisms.

6Orders, Payments & Pricing

a) Order Process

• When you place an order, a request is sent to nearby studio partners. A studio partner must accept your request before the order proceeds.
• Payment is required only after a studio partner has accepted your order. No charges are incurred until acceptance.
• Once payment is completed, the order is confirmed and the studio partner begins processing.

b) Pricing

• All prices displayed on the Platform are in Indian Rupees (₹) and include applicable taxes (GST) unless stated otherwise.
• Pricing includes the service base cost, platform fee, GST, and delivery charges (if applicable).
• We reserve the right to modify pricing at any time. Updated prices will apply to orders placed after the change.

c) Payment Processing

• All payments are processed securely through Razorpay, a RBI-authorised payment gateway.
• We support UPI, debit/credit cards, net banking, and other payment methods available through Razorpay.
• We do not store your card details or UPI PINs on our servers. Payment data is handled entirely by Razorpay in compliance with PCI DSS standards.

7Cancellation & Refunds

a) Cancellation by Customer

• Orders may be cancelled before the studio partner begins processing the print job. Once processing has started, cancellation may not be possible.
• If a customer cancels an order after payment but before processing begins, a full refund will be initiated.

b) Cancellation by Studio Partner or System

• If a studio partner is unable to fulfil an order, or if the system cancels an order due to SLA violations, a full refund will be processed automatically.
• Studio Partners may face penalties for cancellations as per the Partner Terms section below.

c) Refund Processing

• Refunds are processed through Razorpay and typically reflect in your account within 5–7 business days, depending on your bank or payment provider.
• Delivery charges may or may not be refundable depending on the specific circumstances of cancellation and whether the delivery process has already been initiated.
• Refund decisions in disputed cases will be made at the sole discretion of Studiomall after reviewing the circumstances.

8Studio Partner Terms

a) Onboarding & KYC

• Studio Partners must complete a KYC verification process including submission of identity documents (Aadhaar, PAN), bank account details, and business information (GST, if applicable).
• KYC approval is at the sole discretion of Studiomall. We reserve the right to reject or revoke partner status at any time.

b) Service Level Agreements (SLA)

• Studio Partners are required to process and fulfil orders within the designated SLA timeframe communicated at the time of order acceptance.
• Failure to meet SLA deadlines may result in penalties, including financial deductions from future payouts.
• Repeated SLA breaches may result in suspension or permanent removal from the Platform.

c) Penalties

• Penalties may be applied for SLA breaches, order cancellations by the partner, or unfulfilled orders.
• Penalty amounts are deducted from the partner’s payout balance and recorded in the partner ledger.
• If a partner’s payout balance is negative due to penalties, the deficit carries forward to the next payout cycle.

d) Payouts

• Partner payouts are processed on a weekly cycle via RazorpayX bank transfer.
• Payout amounts are calculated after deducting platform commission, applicable penalties, and delivery reimbursement reconciliation.
• Payouts require an active, KYC-verified bank account. Partners are responsible for ensuring their bank details are accurate.

9Delivery Terms

• Delivery is available via Porter (third-party logistics) or self-pickup from the studio, as selected at the time of order.
• Delivery charges are calculated based on the distance between the studio and the delivery address and are displayed before payment confirmation.
• Studiomall is not responsible for delays caused by the delivery partner, incorrect address provided by the customer, or circumstances beyond our control.
• For Porter deliveries, Studio Partners are required to submit delivery receipts for reimbursement reconciliation.

10User Content & Intellectual Property

• By uploading photos to the Platform, you represent and warrant that you own or have the necessary rights to use those photos.
• You grant Studiomall a limited, non-exclusive licence to process, store, and transmit your uploaded photos solely for the purpose of fulfilling your order.
• Studiomall does not claim ownership of any photos uploaded by users. Photos are deleted from our systems after order completion and any applicable retention period.
• The Platform, including its design, logos, text, graphics, and software, is the intellectual property of Studiomall and is protected under applicable Indian intellectual property laws.

11Prohibited Activities

You agree not to:

12Limitation of Liability

• Studiomall acts as a technology platform and intermediary. We are not liable for the quality of prints, colour variations between digital screens and physical prints, or delays caused by Studio Partners or delivery services.
• To the maximum extent permitted by applicable Indian law, Studiomall shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
• Our total liability for any claim arising from these Terms shall not exceed the amount paid by you for the specific order giving rise to the claim.

13Indemnification

You agree to indemnify, defend, and hold harmless Studiomall, its officers, directors, employees, and agents from any and all claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

14Termination

• We may suspend or terminate your account at any time, with or without notice, for any violation of these Terms or for any other reason at our sole discretion.
• You may deactivate your account by contacting us at info@studiomall.in.
• Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including liability, indemnification, and governing law) shall continue to apply.

15Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in Surat, Gujarat, India.

16Dispute Resolution

In the event of any dispute arising from these Terms or your use of the Platform, we encourage you to first contact us at info@studiomall.in for amicable resolution. If the dispute cannot be resolved informally, it shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Surat, Gujarat. The language of arbitration shall be English.

17Force Majeure

Studiomall shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, strikes, power failures, internet disruptions, or acts of terrorism.

18Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting the updated Terms on the Platform with a revised "Last Updated" date. Your continued use of the Platform after any modifications constitutes your acceptance of the revised Terms. We recommend reviewing these Terms periodically for any changes.
